Mezzanine financing is used to fill a void that can exist in a company's capital structure between equity and senior secured debt. It is generally structured as subordinated debt with warrants or some other equity feature.
Mezzanine financing has been used extensively by private middle market companies and has been particularly useful in financing for buyouts, recapitalizations, acquisitions and growth where there is a capital need beyond what the senior secured lender is willing to provide and more than the equity provider can afford or is willing to invest.
